正穗外資新公司成立所需材料 Required documents for New Company Establishment

投資方提供（investors to provide）：

一、投資方開業證明的公證、認證原件2份、翻譯件2份；

Opened the notarization, authentication 2 originals of Investors, and plus 2 copies of translation;

二、投資方的銀行資信證明（證明可以披露金額，但金額不得少于所要投資新公司的注冊資本）；原件1份、翻譯件1份；

bank credit letter （may disclose the amount in the bank account, but the amount is not less than the registered capital of the new company）, one original、one copy.

三、投資方提供新公司的三個以上名稱；名稱結構：字號+行業+（上海）+有限公司；

(provide at lease 3 names for the new company such as: name + industry + (Shanghai) + Co., Ltd.

四、投資方確認新公司的組織結構，是成立董事會還是執行董事，確認法定代表人（可由董事長或執行董事兼任），及監事

Confirm the organizational structure of the new company, Board of directors or Executive directors; the legal representative (Maybe the same person of the chairman of the Board or the Executive director), and the supervisor;

五、提供董事會成員或執行董事及監事的護照復印件；

provide passport copies of each director and the supervisor;

六、確認新公司的經營范圍、經營年限、注冊資金等；

confirm the new company's scope of operation, period of operation, and registered capital

七、提供新公司的注冊地址的合同原件三份，（新公司法定代表人簽署）產權證復印件三份（權利人每頁蓋章）；

3 originals of the new company's rental contract; (signed by the legal representative of the new company) 3 copies of the ownership certificate;

八、投資方公司詳細簡介（公司的情況、地址、法人）；

九、新公司法定代表人一寸照片1張，新公司法人的護照原件 （銀行開戶用）；
